Definitions<\/h3>\n<ul>\n  <li><strong>Contractor:<\/strong> MrStephanovich, operating under the name Clayuda, located at Buitenveldertselaan 70B7, Chamber of Commerce 91219485.<\/li>\n  <li><strong>Client:<\/strong> the natural or legal person who has assigned the Contractor to perform Services.<\/li>\n  <li><strong>Agreement:<\/strong> the service agreement under which the Contractor commits to performing Services for the Client.<\/li>\n  <li><strong>Services:<\/strong> all work to be performed by the Contractor on behalf of the Client.<\/li>\n  <li><strong>Employee:<\/strong> a natural person employed by or working for the Contractor.<\/li>\n  <li><strong>Documents:<\/strong> all information or data in any form relevant to the execution of the Agreement.<\/li>\n  <li><strong>Professional regulations:<\/strong> the professional and ethical rules applicable to the Contractor and\/or its Employees.<\/li>\n<\/ul>\n\n<h3>Article 2. Applicability<\/h3>\n<ul><li>These general terms and conditions apply to all offers, assignments, agreements and legal relationships between Contractor and Client. Deviations are only valid if agreed in writing. The Client&#8217;s general terms are explicitly rejected.<\/li><\/ul>\n\n<h3>Article 3. Commencement and duration<\/h3>\n<ul><li>The Agreement comes into effect upon written acceptance or once performance has started. Unless agreed otherwise, the Agreement is for an indefinite period.<\/li><\/ul>\n\n<h3>Article 4. Client obligations<\/h3>\n<ul><li>The Client must provide complete and accurate information in a timely manner. The Client is liable for any damages resulting from incomplete or incorrect data.<\/li><\/ul>\n\n<h3>Article 5. Execution of the assignment<\/h3>\n<ul><li>The Contractor determines how the work is carried out and may involve third parties. Deadlines are indicative unless explicitly agreed otherwise in writing.<\/li><\/ul>\n\n<h3>Article 6. Professional regulations<\/h3>\n<ul><li>The Client cooperates with legal and regulatory obligations applying to the Contractor. Personal data is processed according to applicable laws.<\/li><\/ul>\n\n<h3>Article 7. Confidentiality<\/h3>\n<ul><li>The Contractor shall maintain confidentiality unless legal obligations require disclosure.<\/li><\/ul>\n\n<h3>Article 8. Intellectual property<\/h3>\n<ul><li>All intellectual property rights remain with the Contractor. Use or distribution of content is prohibited without prior written consent.<\/li><\/ul>\n\n<h3>Article 9. Force majeure<\/h3>\n<ul><li>In case of force majeure, obligations are suspended. Either party may terminate the Agreement in writing if the situation is permanent.<\/li><\/ul>\n\n<h3>Article 10. Fees and costs<\/h3>\n<ul><li>Fees are calculated according to agreed rates. Additional work or costs are charged separately. Price changes may be applied by the Contractor.<\/li><\/ul>\n\n<h3>Article 11. Payment<\/h3>\n<ul><li>Invoices must be paid within 14 days. In case of late payment, statutory interest and collection fees may apply.<\/li><\/ul>\n\n<h3>Article 12. Complaints<\/h3>\n<ul><li>Complaints must be submitted in writing within 14 days after delivery. Filing a complaint does not suspend payment obligations.<\/li><\/ul>\n\n<h3>Article 13. Liability<\/h3>\n<ul><li>The Contractor is only liable for direct damages, up to the amount of the relevant invoice or insured sum. The Client indemnifies the Contractor against third-party claims.<\/li><\/ul>\n\n<h3>Article 14. Termination<\/h3>\n<ul><li>Both parties may terminate the Agreement in writing at any time. The Client must pay for all work performed until that point.<\/li><\/ul>\n\n<h3>Article 15. Suspension<\/h3>\n<ul><li>The Contractor may suspend obligations if the Client fails to meet payment obligations.<\/li><\/ul>\n\n<h3>Article 16. Limitation period<\/h3>\n<ul><li>Claims and rights expire one year after the Client became or should have become aware of them.<\/li><\/ul>\n\n<h3>Article 17. Electronic communication<\/h3>\n<ul><li>Neither party is liable for damages caused by electronic communications unless due to gross negligence or intent.<\/li><\/ul>\n\n<h3>Article 18. Miscellaneous<\/h3>\n<ul><li>These terms are drafted in Dutch and English. In case of discrepancies, the Dutch version prevails.<\/li><\/ul>\n\n<h3>Article 19. Governing law and jurisdiction<\/h3>\n<ul><li>Dutch law applies. Disputes are submitted to the competent court in Amsterdam.<\/li><\/ul>\n\n<h3>Article 20. Severability<\/h3>\n<ul><li>If any provision is invalid, the remainder remains in effect.
