Article 1. Definitions

  • Contractor: MrStephanovich, operating under the name Clayuda, located at Buitenveldertselaan 70B7, Chamber of Commerce 91219485.
  • Client: the natural or legal person who has assigned the Contractor to perform Services.
  • Agreement: the service agreement under which the Contractor commits to performing Services for the Client.
  • Services: all work to be performed by the Contractor on behalf of the Client.
  • Employee: a natural person employed by or working for the Contractor.
  • Documents: all information or data in any form relevant to the execution of the Agreement.
  • Professional regulations: the professional and ethical rules applicable to the Contractor and/or its Employees.

Article 2. Applicability

  • These general terms and conditions apply to all offers, assignments, agreements and legal relationships between Contractor and Client. Deviations are only valid if agreed in writing. The Client’s general terms are explicitly rejected.

Article 3. Commencement and duration

  • The Agreement comes into effect upon written acceptance or once performance has started. Unless agreed otherwise, the Agreement is for an indefinite period.

Article 4. Client obligations

  • The Client must provide complete and accurate information in a timely manner. The Client is liable for any damages resulting from incomplete or incorrect data.

Article 5. Execution of the assignment

  • The Contractor determines how the work is carried out and may involve third parties. Deadlines are indicative unless explicitly agreed otherwise in writing.

Article 6. Professional regulations

  • The Client cooperates with legal and regulatory obligations applying to the Contractor. Personal data is processed according to applicable laws.

Article 7. Confidentiality

  • The Contractor shall maintain confidentiality unless legal obligations require disclosure.

Article 8. Intellectual property

  • All intellectual property rights remain with the Contractor. Use or distribution of content is prohibited without prior written consent.

Article 9. Force majeure

  • In case of force majeure, obligations are suspended. Either party may terminate the Agreement in writing if the situation is permanent.

Article 10. Fees and costs

  • Fees are calculated according to agreed rates. Additional work or costs are charged separately. Price changes may be applied by the Contractor.

Article 11. Payment

  • Invoices must be paid within 14 days. In case of late payment, statutory interest and collection fees may apply.

Article 12. Complaints

  • Complaints must be submitted in writing within 14 days after delivery. Filing a complaint does not suspend payment obligations.

Article 13. Liability

  • The Contractor is only liable for direct damages, up to the amount of the relevant invoice or insured sum. The Client indemnifies the Contractor against third-party claims.

Article 14. Termination

  • Both parties may terminate the Agreement in writing at any time. The Client must pay for all work performed until that point.

Article 15. Suspension

  • The Contractor may suspend obligations if the Client fails to meet payment obligations.

Article 16. Limitation period

  • Claims and rights expire one year after the Client became or should have become aware of them.

Article 17. Electronic communication

  • Neither party is liable for damages caused by electronic communications unless due to gross negligence or intent.

Article 18. Miscellaneous

  • These terms are drafted in Dutch and English. In case of discrepancies, the Dutch version prevails.

Article 19. Governing law and jurisdiction

  • Dutch law applies. Disputes are submitted to the competent court in Amsterdam.

Article 20. Severability

  • If any provision is invalid, the remainder remains in effect. A valid substitute clause will be agreed to match the original intent.
